Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Viziqo One (“the Service”), operated by Viziqo (“we”, “our”, or “us”). By creating an account you agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation.

1. The Service

Viziqo One is a SaaS customer engagement platform providing email, SMS, WhatsApp, push notification, social media scheduling, live chat, AI bot, voice and IVR, CRM, automation, segmentation, knowledge base, and forms tools to registered business users.

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with reasonable notice, except in cases of urgent security or legal requirements.

2. Accounts

  • You must be at least 18 years old and legally capable of entering a contract.
  • You are responsible for maintaining the confidentiality of your credentials.
  • You must notify us immediately of any unauthorised access to your account.
  • One person or legal entity may not maintain more than one free Trial account.
  • Accounts are non-transferable.

3. Subscription and Billing

Paid plans are billed in advance on a monthly or yearly cycle. Prices are listed on the Pricing page and are subject to change with 30 days' notice.

Indian customers are billed in INR via Razorpay. International customers are billed in USD, EUR, or AUD via Stripe.

Refunds. Monthly plans: no refunds for partial months. Yearly plans: pro-rated refund within 30 days of purchase if you have not sent more than 1,000 messages. After 30 days, no refunds are issued.

Overdue accounts. We will suspend accounts 7 days after a failed payment and terminate them after 30 days if the balance remains unpaid.

4. Acceptable Use Policy

You agree NOT to use the Service to:

  • Send unsolicited bulk messages (spam) to recipients who have not opted in
  • Send messages promoting illegal products, services, or activities
  • Send phishing, malware, or deceptive messages
  • Violate TRAI regulations, CAN-SPAM, GDPR, or any applicable law
  • Harvest or scrape contact data without consent
  • Resell or resupply the Service without written permission
  • Reverse engineer, decompile, or attempt to extract source code
  • Introduce viruses, malware, or other harmful code
  • Use the Service to send politically sensitive or religious content in India without prior disclosure

Violation of this policy may result in immediate account suspension without refund.

5. Your Data

You retain ownership of all data you upload to the Service (“Customer Data”). You grant us a limited, non-exclusive licence to process Customer Data solely to provide and improve the Service.

You are the data controller for your contacts. You are solely responsible for ensuring you have lawful basis to send messages to your contacts and for complying with all applicable privacy laws. Refer to our Privacy Policy for how we handle your data.

6. Intellectual Property

The Service, including its design, code, trademarks, and content, is owned by Viziqo and protected by intellectual property laws. These Terms do not transfer any ownership rights to you. You may not use our trademarks or branding without prior written consent.

7. Third-Party Integrations

The Service integrates with third-party platforms (WhatsApp Business API, Facebook, Instagram, LinkedIn, Twitter/X, Razorpay, Stripe, AWS, etc.). Your use of those platforms is governed by their respective terms. We are not responsible for changes, interruptions, or policy violations by third-party platforms that affect your ability to use integrations.

8. Uptime and SLA

We target 99.5% monthly uptime for the Service. Scheduled maintenance will be announced at least 24 hours in advance. Downtime resulting from third-party infrastructure (AWS, Twilio, Meta, etc.) or events beyond our reasonable control is excluded from SLA calculations. Enterprise plans may include a custom SLA under a separate agreement.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIZIQO'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL WE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL.

11. Indemnification

You agree to indemnify and hold harmless Viziqo, its affiliates, officers, and employees from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights, including privacy or intellectual property rights.

12. Termination

Either party may terminate at any time. You may cancel your account via Settings → Billing. We may suspend or terminate your account immediately if you violate the Acceptable Use Policy or these Terms.

Upon termination, your right to use the Service ceases. We will retain your data for 90 days during which you may request an export, after which it is permanently deleted.

13. Governing Law and Disputes

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in India. For disputes under ₹50,000, we encourage resolution via email before initiating legal proceedings.

14. Changes to These Terms

We may update these Terms periodically. We will notify you of material changes by email and by posting the revised Terms here with a new effective date. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
